The presentation will introduce the current topic of Environment, Social and Corporate Governance (ESG) which has exploded in 2022. ESG considerations can be employed as a basis for investment or divestment in a corporation or fund, and in activism targeting those corporations or funds. There have been earlier advocates of ESG from many sectors including Major Investing Institutions such as Blackrock, Corporate Boardrooms such as WalMart, and political advocates such as former United States Senator John Kerry, the Biden Administration’s “Climate Czar”. It started in earnest with President Biden’s Executive Order (EO) that all federal agencies must advance his administration’s climate-related agenda. See 86 Fed Reg. 7619 (Jan. 27, 2021) One of the first manifestations of this EO was that the Securities and Exchange Commission (SEC) issued the 301 page proposed rule “The Enhancement and Standardization of Climate-Related Disclosures for Investors”. See 87 Fed. Reg. 21,334 (Apr. 11, 2022) This proposed rule would significantly affect the amount of narrative disclosures and calculations of greenhouse gas emissions (GHG) information required by publicly traded companies to complete the 10K and 10Q filings. Is this proposed new information required by the SEC necessary or appropriate to protect the public interest, a necessary demand placed by the investing public or just “Woke Capitalism” to compel registered companies to create, gather and disclose a crushing amount of material divorced from the type of basic financial information investors need. I will explore both sides of this ESG topic and some predictions of where it might impact corporate reporting and governance in the future.

Jerry Worsham supports clients in environmental compliance matters, related litigation, and natural resource development.

His experience includes: Climate Change and Environmental and Social Governance (ESG) including comment on issues and regulation development; approvals and permits for natural resource development; litigation defense on numerous cases involving the Comprehensive Environmental Response, Compensation and Liability Act (CERCLA); compliance with the Resource Conservation and Recovery Act (RCRA); civil and criminal liability defense on environmental matters; ASTM Phase I and Phase II Environmental Site Assessments coordination; emergency incident responses; Prospective Purchaser Agreement negotiations; creation of Conservation Easements; and due diligence associated with mergers, acquisitions and initial public offerings.

Jerry reviews and comments on federal, state and local laws, rules and regulations on a regular basis and represents clients before federal and state environmental agencies.

The member must register him/herself for the luncheon, then contact Paige Martin at paigemartinesq@aol.com with the guest’s name and email address, and choice of regular or vegan meal, so that she can register the guest.  Member registration and the request for guest registration must be completed before the registration cut-off on the Friday before the luncheon, at noon.

6.  The member can only invite one guest to any luncheon.

7.  The member is responsible for following up with his/her guest after the luncheon to invite the guest to join Scottsdale Bar.

8.  The Board of Directors reserves the right to limit the number of guests attending each luncheon.
