What this position does to contribute to the Company’s success:
Responsible for corporate securities work and disclosure/reporting/compliance matters, including 10-K’s, 10-Q’s, 8-K’s, Form 4’s, Stock Exchange listing standards compliance, Regulation FD and Regulation G.
Work on corporate governance matters, including corporate governance policies, guidelines and board committee matters, preparation of materials for board and committee meetings, drafting minutes, preparation and distribution of proxy materials and assistance with annual meetings and shareholder matters
Responsible for management of subsidiaries, including maintenance of books and procedures, management of state filings and organization of entity structure with tax, accounting, HR and related functions.
Advise and work closely with key stakeholders, including senior management, accounting, treasury, tax and finance as well as business functions, outside counsel, auditors and board members.
Provides legal advice relating to transactions, including mergers and acquisitions.
Provide advice relating to executive compensation and investor relations
Oversee the work of a paralegal and legal assistant dedicated to corporate compliance work.
This position has the expectation and responsibility to take on other duties needed to help drive our Purpose, fulfill our Brand Principles and abide by our Organization’s values.
Qualifications:
Juris Doctor (JD) Degree; and a minimum of 10 years of relevant experience with a law firm and/or as an in-house counsel with a publicly traded company, with experience working on securities, corporate governance, and corporate finance matters. Must be a member of a state bar.
High attention to detail and conscientiousness required.
Must have ability to work irregular schedules to meet business needs.
Must possess diligence, a positive demeanor, excellent interpersonal, organizational and communication skills, and be flexible and open to change.
Ability to maintain the highest ethical standards is required.
